Affiliate Program Terms
The agreement that governs participation in the FreightBrokerLeads.ai affiliate program.
Last Updated: May 29, 2026
1. Enrollment & Eligibility
By enrolling in the FreightBrokerLeads.ai affiliate program (the "Program"), promoting your referral link, or accepting a commission payout, you agree to these Affiliate Program Terms (these "Affiliate Terms"). These Affiliate Terms are in addition to our general Terms of Service and Privacy Policy.
You must be at least 18 years old and legally able to enter into a contract. You participate as an independent contractor — these Affiliate Terms do not create an employment, agency, partnership, or joint-venture relationship, and you may not represent yourself as an employee or agent of FreightBrokerLeads.ai. We may approve or decline any applicant, and may run the Program on an invite-only basis, at our sole discretion.
2. Commission Structure
- Rate: You earn 20% of the net subscription revenue we collect from each paying customer you refer.
- Duration: Commissions are earned for up to the first twelve (12) months of each referred customer's paid subscription, for as long as that customer remains an active paying subscriber within that window.
- Attribution: Referrals are tracked on a last-click basis via a cookie set when a visitor arrives through your referral link. The cookie window is 30 days. If a customer arrives through more than one affiliate's link, the most recent link prior to sign-up receives credit.
- Basis: Commission is calculated on amounts actually collected, net of refunds, credits, proration, and chargebacks. Taxes and third-party payment-processing fees are excluded from the commission base.
3. Approval Period & Payouts
- Hold / approval period: Each commission is held for 60 days after the underlying charge before it becomes eligible for payout. This protects against refunds, chargebacks, and cancellations.
- Minimum payout: A balance of at least $100 in eligible (past-hold) commissions is required before a payout is issued. Balances below the minimum roll forward.
- Method & schedule: Payouts are issued monthly via PayPal or Wise through our affiliate platform, to the payout account you configure in your affiliate dashboard. You are responsible for keeping your payout details accurate.
4. Refunds, Chargebacks & Clawbacks
If a referred customer's charge is refunded, charged back, or otherwise reversed, the associated commission is reversed. If the reversal occurs before the commission has been paid out, the pending commission is cancelled. If it occurs after payout, the reversed amount is deducted from your future commission balance. We may withhold or recover commissions associated with fraudulent, invalid, or reversed transactions.
5. Required FTC Disclosure
You must clearly and conspicuously disclose your affiliate/material connection to FreightBrokerLeads.ai on every promotion, in compliance with the U.S. Federal Trade Commission's Endorsement Guides and all applicable laws.
-
Use a clear disclosure such as
#ad,#sponsored, or a plain-language statement (e.g., "I earn a commission if you sign up through my link") placed where your audience will actually see it — not buried, not below a "more" fold, and not in a wall of hashtags. - Disclosures apply across every channel: video, audio, written posts, email, and social media.
- You are solely responsible for the legality and accuracy of your own promotional content.
6. Prohibited Conduct
The following will result in withheld commissions and/or removal from the Program:
- Brand-keyword bidding: Bidding on or running paid search ads against "FreightBrokerLeads", "FreightBrokerLeads.ai", or confusingly similar terms, or using our trademarks in ad copy or display URLs.
- Self-referral: Referring yourself, your own accounts, or accounts you control.
- Spam & deception: Unsolicited bulk email/SMS, cookie stuffing, forced clicks, fake reviews, typosquatting, or any false or misleading claims about the product, pricing, results, or your relationship with us.
- Misrepresentation: Implying you are FreightBrokerLeads.ai or speak on its behalf, or making guarantees (income, deliverability, data accuracy) that we do not make ourselves.
- Unauthorized incentives: Offering unapproved cash-back or rebates in a way that violates these Affiliate Terms.
- Trademark / IP misuse: Using our name, logo, or content except as needed for honest promotion, and only consistent with any brand guidance we provide.
7. Taxes
You are responsible for all taxes on commissions you earn. As an independent contractor, you are not subject to tax withholding by us. U.S.-based affiliates who earn $600 or more in a calendar year will be asked to provide a completed IRS Form W-9 and will receive a Form 1099-NEC; we may withhold payouts until a valid W-9 is on file. Non-U.S. affiliates may be asked for an equivalent tax form (e.g., W-8BEN).
8. Term & Termination
Either party may terminate participation in the Program at any time, for any reason, with or without notice. On termination, your referral link is deactivated and you stop earning new commissions. Eligible commissions already earned and past the hold period will be paid out in the ordinary course, except where they relate to prohibited conduct, fraud, or reversed transactions, which we may withhold. Sections relating to clawbacks, taxes, limitation of liability, and governing law survive termination.
9. Modifications
We may modify these Affiliate Terms, the commission rate, the duration, the hold period, or any other Program parameter at any time. Material changes will be communicated by email or through the affiliate dashboard and apply to commissions earned after the effective date. Your continued participation after a change takes effect constitutes acceptance.
10. Disclaimer & Limitation of Liability
The Program is provided "as is." We make no guarantee of any minimum earnings, traffic, or conversion rate. To the maximum extent permitted by law, our aggregate liability to you under the Program is limited to the total commissions payable to you in the twelve (12) months preceding the event giving rise to the claim.
11. Governing Law
These Affiliate Terms are governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. Any legal action arising under these Affiliate Terms shall be brought exclusively in the federal or state courts located in Indiana, and you consent to personal jurisdiction and venue in such courts.
